Terms of Service

1. Agreement to Terms

By accessing and using CogniGrit Academy's website, platform, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all Terms, do not use the Service.

If you are a minor, your parent or legal guardian must review and agree to these Terms on your behalf.

2. Eligibility

The Service is intended for children ages 10-14 and their parents/guardians. Users under 13 must have verifiable parental consent. By using the Service, you represent that you meet these eligibility requirements.

3. User Accounts

Account Creation

To use the Service, you must create an account with accurate, complete information. You are responsible for maintaining the confidentiality of your password and for all activities under your account.

Prohibited Conduct

You agree not to:

• Share your login credentials with others
• Impersonate another person or entity
• Use automated tools to access the Service without permission
• Attempt to gain unauthorized access to the Service or other users' accounts
• Harass, abuse, or threaten other users or staff
• Post spam, malware, or harmful content

CogniGrit may suspend or terminate accounts that violate these terms.

4. Payment Terms

Pricing & Billing: Program fees are displayed at enrollment and charged to the payment method you provide. Tuition is based on selected engagement level. You authorize CogniGrit to charge your payment method for all approved fees.

Payment Plans: We offer flexible payment options (full payment or installment plans). If you choose installments, you authorize automatic charges on specified dates.

Failed Payments: If a payment fails, we will attempt collection and may suspend access to the Service until payment is made.

Refunds:

• Before program start: Refund eligibility is defined in the enrollment agreement signed at checkout
• After program start: Tuition is generally non-refundable due to reserved cohort capacity
• Deferrals: One-time deferral requests may be considered case by case
• Cancellation: Notify support@cognigrit.com in writing

Payment processing is handled by Stripe under their terms-see their privacy policy for details.

5. Program Participation

Attendance & Sessions: Standard cohorts run one live 60-minute session per week for 24 total sessions, with a maximum of 6 students per cohort. Students are expected to attend scheduled sessions. If a student misses more than 2 consecutive sessions, we may adjust support, placement, or enrollment status.

Recordings & Replays: All sessions are recorded. Recordings are available only to enrolled students and parents. You may not share, repost, or distribute recordings without permission.

Makeup Sessions: Missed sessions can be made up by watching replays or scheduling alternate times (space permitting). Contact support@cognigrit.com to arrange.

Academic Integrity: Students are expected to complete work honestly. Plagiarism, cheating, or unauthorized collaboration may result in suspension or expulsion without refund.

6. Intellectual Property

CogniGrit Content: All curriculum materials, assessments, course content, and platform functionality are proprietary to CogniGrit and protected by copyright and trademark law. You may use this content solely for your own educational purposes.

Prohibited Uses: You may not copy, modify, adapt, translate, reverse engineer, or distribute CogniGrit content without written permission.

User-Generated Content: You retain ownership of any content you create (essays, responses, projects). By submitting content to CogniGrit, you grant us a non-exclusive license to use it for instruction, assessment, and (with your consent) case studies or research.

7. Limitation of Liability

DISCLAIMER: The Service is provided "as is" without warranties. CogniGrit does not guarantee specific academic results, test score improvements, or admission outcomes.

To the maximum extent permitted by law, CogniGrit is not liable for indirect, incidental, special, or consequential damages, even if advised of the possibility of such damages.

Limitation: CogniGrit's total liability under these Terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless CogniGrit, its officers, employees, and partners from any claims, damages, or expenses (including attorneys' fees) arising from:

• Your violation of these Terms
• Your use of the Service in violation of law
• Your infringement of third-party intellectual property rights
• Your user-generated content

9. Termination

CogniGrit may suspend or terminate your account:

• For violation of these Terms
• For non-payment
• For abusive conduct toward staff or other students
• At our discretion, with 10 days' notice (except for violations, which are immediate)

Upon termination, your access to the Service ends immediately. You remain responsible for any outstanding fees. No refund is provided for accounts terminated due to violation.

10. Use License

Subject to these Terms, CogniGrit grants you a limited, non-exclusive, non-transferable license to access and use the Service for educational purposes only. This license does not include:

• Commercial use or resale
• Removal of copyright/trademark notices
• Creating derivative works
• Sharing access with unauthorized persons

11. Modifications to Terms & Service

CogniGrit may modify these Terms at any time. We will notify you of material changes via email and request re-consent. Continued use after changes means you accept the modified Terms.

CogniGrit may modify or discontinue the Service with 30 days' notice. If discontinued, we will provide refunds for unused portions of paid programs.

If CogniGrit undergoes a merger, acquisition, restructuring, or asset transfer, these Terms, the Privacy Policy, and the Data Guarantee remain binding and enforceable against any successor or assignee.

12. Governing Law

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable in British Columbia, excluding conflict of law principles. Any legal action or proceeding must be brought exclusively in the courts located in Surrey, British Columbia, Canada.

13. Dispute Resolution

Informal Resolution: Before filing a legal claim, you agree to contact support@cognigrit.com in writing with details of your dispute. We will attempt to resolve within 30 days.

Binding Arbitration: If informal resolution fails, you agree to submit to binding arbitration before a single arbitrator in British Columbia, rather than court. Arbitration costs are paid by CogniGrit unless your claim lacks merit. Arbitration is final and binding.

Exception: Small claims court in British Columbia is available if your claim is under the applicable limit.

14. Severability

If any portion of these Terms is found invalid, that portion will be severed, and the remaining Terms will continue in full force.

15. Entire Agreement

These Terms, together with our Privacy Policy and Data Guarantee, constitute the entire agreement between you and CogniGrit regarding the Service.

Where a conflict exists between these Terms and the Data Guarantee on data sale, monetization, or unauthorized sharing, the stricter protection controls.

16. Third-Party Services

The Service may include or link to third-party services (Zoom, Google Classroom, Payment processors, etc.). CogniGrit is not responsible for third-party services or content. Review their terms and privacy policies.

For users under 13: These Terms apply to you, but your parent/guardian has agreed on your behalf. Your parent/guardian can request to see, change, or delete your information. If you have questions, ask a parent/guardian.
